武田将收购Maverick Therapeutics,收购可扩大其免疫肿瘤产品组合,包括2个开发候选产品和Maverick专门旨在靶向作用于实体瘤的条件性活性双特异性T细胞接合剂COBRA™平台。
武田药品工业株式会社(Takeda Pharmaceutical Company Limited, TSE:4502/NYSE:TAK)(“武田”)今天宣布行使其选择权,收购开创条件性活性双特异性T细胞靶向免疫疗法的私有生物制药公司Maverick Therapeutics, Inc.。按此协议,武田将获得Maverick的T细胞接合剂COBRA™平台和广泛的开发产品组合,包括Maverick的先导开发候选药物TAK-186 (MVC-101)(目前正在开展治疗表达EGFR实体瘤的1/2期研究)和TAK-280 (MVC-280)(预计将在武田2021财年下半年进入临床,用于治疗表达B7H3的实体瘤患者)。交易完成后,Maverick的员工,包括其才华横溢的科学家团队,将加入武田的研发组织。

此次收购之前,武田于2017年与Mavericky签署了一项多年合作协议,该协议旨在开发条件性活性T细胞接合剂疗法,武田在其中获得股权和五年后收购Maverick的独家权利。基于先导项目的成功和COBRA平台的前景,武田以总额达5.25亿美元的预先商定首付和潜在的开发和监管里程碑付款,行使其选择权收购Maverick,但受制于某些调整,包括武田目前的股权和Maverick的债务。此次交易预计将在武田2021财年一季度收尾。成交取决于反托拉斯法审查的完成,包括美国1976年《哈特-斯科特-罗迪诺(HSR)反托拉斯改进法案》。
